Service Delivery Policy

Our services fall into two categories:

1. Software platform

Our reporting platform is intended to be operational and available to clients 24 hours per day. Customers are entitled to access the platform as needed for 12 months after the end of each applicable reporting period.

2. Consulting and assistance services

Our service may include explicit consulting components as well as consulting and assistance which is packaged as part of the overall service. In all cases, the date of completion of such work is dependent on the timeliness of responses and supply of data from clients and the availability of our consulting team. Unless otherwise stated in writing, a minimum period of 7 days is applicable from the date we receive from the client all required information to when a report or service can be expected to be completed.

Service Usage Terms

The service provided by NPI Services is highly dependent on the data provided by the client, we cannot be held responsible for the content of the reports we create if the data or information provided to us is not correct or incomplete. However, if our system creates a report containing incorrect values due to a calculation error or incorrect formula selection, we will review, correct and re-issue the report free of any additional fees.

Our online services come with a 99% uptime target and can be expected to be available 24 hours per day. Where possible, we will attempt to notify in advance of any scheduled maintenance work likely to disrupt the service, but we cannot guarantee it.

Liability And Indemnity

You indemnify us against all losses, costs (including legal costs), expenses, demands or liability that we incur arising out of, or in connection with, a third-party claim against us relating to your use of our services or any third-party product (except as to the extent we are at fault for).

Our services and all third-party products are made available to you on an "as is" basis. Subject to the applicable consumer law, we disclaim all warranties, express or implied, including any implied warranties of non-infringement, merchantability and fitness for a particular purpose.

Other than liability that we can't exclude or limit by law, our liability to you in connection with our services or these terms, in contract, tort (including negligence) or otherwise, is limited as follows:

  • We have no liability arising from your use of our services for any loss of revenue or profit, loss of goodwill, loss of customers, loss of capital, loss of anticipated savings, legal, tax or accounting compliance issues, damage to reputation, loss in connection with any other contract, or indirect, consequential, incidental, punitive, exemplary or special loss, damage or expense.
  • For loss or corruption of your data, our liability will be limited to taking reasonable steps to try and recover that data from our available backups.
  • Our total aggregate liability to you in any circumstances is limited to the total amount you paid us in the 12 months immediately preceding the date on which the claim giving rise to the liability arose.
